Main Services Agreement

By creating or logging into your Bluelet account you agree to be bound by this Main Services Agreement ("Agreement") and our Privacy Policy.
Parties
- "Bluelet" or "Company" – Beyz Inc., Sch 228 Velocity Digital Space, 200 University W Ave, Waterloo, Ontario, Canada, N2L3G1.
- "Customer" – the individual or legal entity accepting this Agreement, either by clicking "I Agree", "Continue", or similar, or by executing an order form that references this Agreement.
Together, Bluelet and Customer are the "Parties."
1. SaaS Services & Support
1.1 Provision of Services
Bluelet will use commercially-reasonable efforts to provide the subscription software-as-a-service recruiting platform and related features set out in the applicable order form (the "Services") in accordance with the Service-Level Terms in Exhibit A.
1.2 Account Registration
Customer must designate an administrator and create usernames and passwords. Bluelet may reject or revoke credentials it deems inappropriate.
1.3 Support
Technical support is provided as set out in Exhibit B.
2. Restrictions & Customer Responsibilities
Customer shall not:
- Reverse-engineer, decompile, disassemble, or otherwise attempt to discover source code or algorithms of the Services;
- Modify or create derivative works of the Services (except as expressly permitted in writing by Bluelet);
- Use the Services for time-sharing, service bureau, or similar purposes for third parties;
- Remove proprietary notices, or export the Services in violation of Canadian or applicable foreign export-control laws.
Customer shall:
- Use the Services only in accordance with Bluelet's published policies and all applicable laws (including Canadian privacy and anti-spam legislation);
- Maintain all hardware, software, network connections, and security (collectively, "Equipment") necessary to access the Services;
- Keep credentials confidential and be responsible for all activity under its account.
Customer will indemnify and hold Bluelet harmless from claims arising out of Customer's breach of this Section 2.
3. Confidentiality • Proprietary Rights • Data Privacy
3.1 Confidential Information
Each Party may disclose non-public business, technical, or financial information ("Confidential Information"). The receiving Party will take reasonable precautions to protect it and use it solely to fulfil this Agreement. These obligations do not apply to information that is: (a) public, (b) already known without duty of confidentiality, (c) independently developed, (d) lawfully disclosed by a third party, or (e) required by law to be disclosed (with notice where legally permitted).
3.2 Ownership
Customer owns all right, title, and interest in data uploaded to the Services ("Customer Data"). Bluelet owns the Services, underlying software, and all related intellectual-property rights. No rights are granted except as expressly stated.
3.3 Aggregate Data
Bluelet may collect and analyse usage data to improve its products and may disclose such information in aggregate or de-identified form.
3.4 Data Processing
Where Bluelet processes Customer Data that is "personal information" under applicable data-protection laws, Bluelet's Data Processing Agreement, available in its Trust Centre, forms part of this Agreement.
4. Fees & Payment
4.1 Fees
Fees are set out in the order form. If usage exceeds subscribed capacity, customers will pay overage fees. Bluelet may change fees on renewal with 30 days' email notice.
4.2 Payment Terms
Invoices are due 30 days from issue. Late payments bear the lesser of 1.5 % per month or the maximum rate permitted by law, plus reasonable collection costs. Customer is responsible for all applicable taxes except those based on Bluelet's net income.
5. Term & Termination
5.1 Term
The Agreement starts on the effective date and lasts for the initial subscription term stated in the order form, renewing automatically for equal periods unless either Party gives 30 days' written notice before the current term ends.
5.2 Termination for Cause
Either Party may terminate for a material breach not cured within 30 days (immediately for non-payment). Customer remains liable for fees up to the termination date. Upon termination, Bluelet will provide Customer with the ability to export Customer Data for a period of 30 days. Customer is solely responsible for exporting its data within this period. After 30 days, Bluelet may permanently delete all Customer Data without further notice and bears no liability for any loss resulting from such deletion.
Sections that by nature should survive (e.g., confidentiality, ownership, accrued fees, disclaimers, limitations of liability) shall survive termination.
6. Warranty & Disclaimer
Bluelet will provide the Services and any implementation services in a professional and workmanlike manner and use reasonable efforts to minimise downtime. The Services are otherwise provided "as is." Bluelet disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Bluelet does not warrant uninterrupted or error-free operation.
7. Limitation of Liability
Except for bodily injury directly caused by Bluelet's gross negligence or willful misconduct, Bluelet's total aggregate liability arising out of this Agreement shall not exceed the fees paid by Customer to Bluelet in the 12 months preceding the event giving rise to the claim. Bluelet shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of data, business, revenues, or profits, even if advised of the possibility of such damages. The remedies set forth in this Agreement are Customer's exclusive remedies for any claims related to the Services.
8. Miscellaneous
- Governing Law. This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflicts-of-law rules.
- Assignment. Customer may not assign this Agreement without Bluelet's prior written consent. Bluelet may assign its rights and obligations without consent.
- Entire Agreement. This Agreement (including exhibits, order forms, and the Data Processing Agreement) is the Parties' entire agreement and supersedes all prior understandings. Amendments must be in writing and signed by both Parties, except Bluelet may update online terms with 30 days' notice.
- Notices. Notices must be in writing and are effective when delivered personally, sent by courier (next-day delivery), or emailed with confirmed receipt to the addresses set out above (or as later designated).
- Marketing Reference. Bluelet may use Customer's name and logo in its customer lists and marketing materials.
Exhibit A – Service-Level Terms
Bluelet targets 99 % monthly uptime, excluding scheduled maintenance, weekends, Canadian public holidays, and events outside Bluelet's reasonable control. For downtime exceeding one hour, Bluelet will credit 5% of the monthly fee for every additional 45 consecutive minutes of downtime (maximum one credit per day, capped at one week's fees per month). Claims must be submitted within 24 hours of the incident. The service credits described in this section are Customer's sole and exclusive remedy for any failure to meet the service level commitments set forth herein.
Exhibit B – Support Terms
Support Hours: Monday–Friday, 9:00 a.m.-5:00 p.m. Eastern Time, excluding Canadian statutory holidays.
